Distance Sales Agreement

This Distance Sales Agreement (“Agreement”) is entered into electronically between:

Navlo Teknoloji Limited Şirketi

Bilişim Vadisi, Gülbahçe Mah. İçmeler Caddesi No:14/1 İç Kapı No:B05 Urla/İzmir, Türkiye

(“Navlo” or “Seller”)

and

the individual or legal entity purchasing or using paid services through the Navlo platform (“Buyer” or “User”).

This Agreement is concluded electronically in accordance with applicable consumer protection, electronic commerce, and distance sales regulations.

1. Subject of the Agreement

The subject of this Agreement is the electronic sale and delivery of digital platform services provided by Navlo, including but not limited to:

  • Container tracking services
  • Air cargo tracking services
  • Shipment analytics and reporting
  • Shipment collaboration tools
  • Document upload and management features
  • AI-powered logistics assistant services (“Navlo AI”)
  • Credit purchases and usage rights within the platform

2. Nature of the Services

Navlo provides digital logistics platform services through an online user account system.

Tracking information displayed through the platform is obtained from third-party carriers, airlines, and logistics providers. Navlo acts solely as a digital platform and data aggregation service and does not independently verify third-party tracking data.

3. Service Delivery

Services are delivered electronically.

Delivery is deemed completed when:

  • the user account becomes active,
  • credits are assigned to the account, or
  • access to purchased platform functionality becomes available.

No physical products are delivered.

4. Pricing and Payments

Service prices and credit amounts are displayed on the platform at the time of purchase.

Payments are processed electronically through authorized payment providers.

The Buyer agrees to pay all applicable fees, taxes, and charges associated with purchased services.

5. Credit System

Navlo operates using a credit-based system.

  • Each shipment tracking consumes one (1) credit.
  • Credits do not expire unless otherwise stated.
  • Credits are non-transferable and may only be used within the Navlo platform.

6. Navlo AI Services

Users may optionally activate Navlo AI services.

Navlo AI:

  • provides AI-powered logistics assistance and analytics,
  • operates using a recurring monthly fee of 20 credits, and
  • may be cancelled by the user at any time.

Cancellation prevents future recurring charges but does not generate refunds for previously used service periods.

7. Right of Withdrawal

The Buyer acknowledges and agrees that:

  • digital services begin immediately after activation or access is granted, and
  • once digital performance has started, the right of withdrawal may no longer apply to the extent permitted under applicable law.

By purchasing credits or activating Navlo AI, the Buyer expressly consents to immediate digital performance.

8. Refunds and Cancellations

Refunds and cancellations shall be governed by the Navlo Refund & Cancellation Policy.

Unless otherwise required by applicable law:

  • used credits are non-refundable,
  • completed services are non-refundable, and
  • active or previously used Navlo AI periods are non-refundable.

9. User Obligations

The Buyer agrees:

  • to provide accurate information,
  • to use the platform lawfully, and
  • not to misuse the services or attempt unauthorized access.

10. Limitation of Liability

Navlo does not guarantee:

  • uninterrupted service availability,
  • accuracy of third-party tracking information, or
  • accuracy of AI-generated outputs.

To the maximum extent permitted by law, Navlo shall not be liable for indirect, incidental, or consequential damages arising from use of the platform.

11. Personal Data

Personal data shall be processed in accordance with the Navlo Privacy Policy.

12. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the Republic of Türkiye.

Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of İzmir, Türkiye.
